Welcome to Vertex Learnbox. These Terms of Service (“Terms”) govern your access to and use of the Vertex Learnbox website (https://vertexlearnbox.com), our Progressive Web Application (PWA), the Vertex OS learning environment, ITHUTEX, and the Tutor Marketplace (collectively, the “Platform”).

Vertex Learnbox is operated out of Maputsoe, Leribe, Lesotho. By accessing, registering for, or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Account Registration and Security

1.1 Eligibility: The Platform is intended for high school students, graduates, educators, and lifelong learners. If you are under the age of 13, you must have verifiable consent from a parent or legal guardian to create an account.

1.2 Account Creation: To access our premium features, dynamic exam sprints, or the Tutor Marketplace, you must register for an account using a valid email address and/or mobile phone number. You agree to provide accurate, current, and complete information.

1.3 Account Security: You are responsible for maintaining the confidentiality of your password, OTPs (One-Time Passwords), and account credentials. Vertex Learnbox enforces strict security protocols, including email/phone verification. You must immediately notify us at support@vertexlearnbox.com if you suspect unauthorized access to your account.

2. Platform Services and Subscriptions

2.1 The Learning Ecosystem: Vertex Learnbox provides an interactive “System of Action” tailored to regional syllabuses (including LGCSE, IEB, NSC, Cambridge, and IBDP). Services include recorded video lessons, spaced repetition flashcards, dynamic past-paper testing, and AI-driven grading.

2.2 ITHUTEX: Our proprietary artificial intelligence, ITHUTEX, is provided as a 24/7 personalized study assistant. While ITHUTEX is highly advanced and mapped strictly to your curriculum context, it is designed to assist learning, not replace human judgment or guarantee specific exam results.

2.3 Memberships and Subject Add-ons: Access to certain features requires a paid membership (e.g., Explorer, Core, Elite). Users may also purchase individual “Subject Add-ons.” By selecting a subscription or add-on, you agree to pay the specified fees.

2.4 Payment Gateways (Mobile Money & Cards): To ensure frictionless accessibility, we process payments via local and international gateways, including Vodacom Lesotho M-Pesa, EcoCash, C-Pay, and standard credit cards.

3. Tutor Marketplace Terms

Vertex Learnbox features a Tutor Marketplace that connects students with qualified freelance educators.

3.1 For Students: You may book live digital classroom sessions with independent tutors. Vertex Learnbox facilitates these connections and payments but is not directly responsible for the individual teaching styles or offline conduct of third-party tutors.

3.2 For Educators (Tutors): Tutors are independent contractors, not employees of Vertex Learnbox. By registering as a tutor, you agree to:

5.1 Platform Content: All software, design features (including the mobile-first UX/UI), text, graphics, videos, dynamic exam systems, and trademarks (including the “Vertex Learnbox” logo and “ITHUTEX”) are the exclusive property of Vertex Learnbox and are protected by copyright and intellectual property laws.

5.2 User Content: Any materials you submit, including forum posts or messages to ITHUTEX, remain yours. However, by submitting content, you grant Vertex Learnbox a non-exclusive, worldwide, royalty-free license to use, process, and display that content to operate and improve the Platform.

6. Disclaimers and Limitation of Liability

6.1 Academic Disclaimer: While 72% of our early users report improved grades, Vertex Learnbox does not guarantee specific academic outcomes, university admissions, or exam scores. Education requires active participation from the student.

6.2 “As-Is” Service: The Platform, including ITHUTEX and the PWA, is provided on an “as is” and “as available” basis. We do not warrant that the platform will be uninterrupted, entirely error-free, or fully immune to server outages.

6.3 Limitation of Liability: To the maximum extent permitted by applicable law, Vertex Learnbox and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of, or inability to use, the Platform.

7. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, our business, or third parties.

8. Changes to These Terms

Vertex Learnbox operates in a rapidly evolving digital landscape. We may update these Terms periodically. If we make material changes, we will notify you via email, SMS, or a prominent notice on your dashboard. Continued use of the Platform following such notice constitutes your acceptance of the new Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Lesotho, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the competent courts located in Lesotho.
